Terms of Service.

These terms govern your access to and use of the Notio platform. Please read them carefully — by using Notio, you agree to them.

Notio is built to meet GDPR data-protection requirements and maintains SOC 2 Type II certification. Our handling of your data is described in full in the Privacy Policy, which forms part of these terms.

1. Agreement to terms

These Terms of Service ("Terms") are a binding agreement between you and Notio Labs ("Notio", "we", "us") and govern your use of the Notio platform, websites, applications, and related services (together, the "Service"). If you are entering into these Terms on behalf of a company or other organisation, you represent that you have the authority to bind that organisation, and "you" refers to that organisation.

2. The Service

Notio is a shared intelligence platform that helps teams capture context from meetings, documents, and other sources, and turn it into requirements, proposals, and other deliverables. We may update, improve, or change features of the Service from time to time. We will not make changes that materially reduce the core functionality of a paid plan during your billing term without notice.

You retain all rights to the content, files, transcripts, and other data you and your users submit to the Service ("Customer Data"). You grant us a limited licence to host, process, and transmit Customer Data solely to provide and support the Service, as described in our Privacy Policy. We do not sell your data, and we do not use your Customer Data to train foundation models for other customers.

6. AI-generated output

The Service uses AI to generate requirements, summaries, documents, and other output ("Output"). Output is produced from the context you provide and may contain errors or omissions. Every AI process in Notio is designed with human review in mind — you are responsible for reviewing Output before relying on it, and Notio is not a substitute for professional judgment.

The Service, including its software, design, and content (excluding Customer Data), is owned by Notio and its licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription — no other rights are granted by implication.

9. Confidentiality

Each party may access confidential information of the other. Both parties agree to protect the other's confidential information with reasonable care and to use it only as needed to exercise rights and perform obligations under these Terms.

We maintain an information security program aligned with SOC 2 Type II and designed to meet GDPR requirements. This includes encryption of data in transit and at rest, least-privilege and logged access, regular independent audits, and a documented incident-response process. Where we process personal data on your behalf, we do so under a data processing agreement consistent with applicable data-protection law. Full detail is set out in our Privacy Policy.

11. Warranties and disclaimers

We provide the Service with reasonable skill and care. Except as expressly stated and to the extent permitted by law, the Service is provided "as is" without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes any rights you have under mandatory consumer law, including the Australian Consumer Law.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, or for lost profits or data. Our total aggregate liability arising out of or relating to the Service is limited to the fees you paid to us in the twelve months before the event giving rise to the claim.

13. Term and termination

These Terms apply for as long as you use the Service. You may cancel at any time from your account settings. We may suspend or terminate access if you materially breach these Terms or if required to protect the Service or other users. On termination, you may export your Customer Data for a reasonable period, after which we may delete it in line with our retention practices.

14. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app before they take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of Queensland, Australia, and each party submits to the non-exclusive jurisdiction of the courts of that state, without affecting any mandatory consumer protections available to you in your own jurisdiction.
